Please read this platform use policy carefully before using our platform

What's in this Platform Use Policy and why is it important?

This policy sets out the content standards and rules for anyone who accesses or uses our platform. When we refer to our platform we mean the platform and all the related services we provide with it.

The policy is necessary to protect the integrity of our platform and to provide assurance to everyone that the information shared in the platform is being used properly.

Please only use our platform if you agree to comply with this policy.

We update the policy from time to time, so please check it regularly. It was last updated on July 2019

This Platform Use Policy is part of our Terms of Use which apply to your use of our platform.

Our Privacy Policy which sets out how we use your data.

If you are a client you will also have a separate Client Agreement with us which applies to your use of our platform.

Content Standards

Our expectations

We expect all our users to contribute to the platform in a way that is lawful, accurate, genuine, reliable, and respectful.

Please make sure that any contribution you make to the platform is:

  • Accurate (where it states facts).

  • Genuinely held (where it states opinions).

  • Lawful.

 

Please make sure such contribution does not:

  • Damage a person or organisation’s reputation.

  • Include obscene, offensive, hateful or inflammatory material.

  • Bully, insult, intimidate or humiliate, embarrass, or annoy any other person.

  • Promote sexually explicit material.

  • Include child sexual abuse material.

  • Promote violence or acts terrorism.

  • Promote discrimination based on race, sex, religion, nationality, disability, sexual orientation or age.

  • Infringe any copyright, database right or trade mark of any other person.

  • Deceive any person.

  • Breach any legal duty owed to a third party, such as a contractual duty or a duty of confidence.

  • Promote any illegal activity.

  • Be in contempt of court.

  • Impersonate any person, or misrepresent your identity or affiliation with any person.

  • Give the impression that the contribution emanates from IAND if this is not the case.

  • Contain any advertising or promote any services or web links to other sites.

 

We can (but we are not obliged) to review, edit, or remove any content you submit. If it breaks any laws, we can refer it to the police and other authorities.

Access to the Platform

In order to access the platform you must set up an account and provide information including your company name and address, website address, company number and VAT number if applicable, as well as a contact name, phone number and email address. Your personal information will be used in accordance with our Privacy Policy.

You allow us, and any third party appointed on our behalf, to verify your identity and the details you submit to us.

You must be over 18 years old. If you are a business, you must be valid, registered and in good standing. You must be properly authorised to enter into this agreement for the use of our platform.

We can refuse to register any user for any reason or no reason.

Security

When you register for an account on our platform you will provide a password as part of our security procedures. You must keep this confidential.

If you know or suspect that anyone other than you knows your password, you must promptly notify us at info@iand.com.

We do not guarantee that our platform will be secure or free from bugs or viruses.

You are responsible for configuring your information technology, computer programmes and platform in order to access our site. You should use your own virus protection software.

Do not do anything which could damage or interfere with the platform. You must not transmit any data, send or upload any material that contains viruses, Trojan horses, worms, time-bombs, keystroke loggers, spyware, adware or any other harmful programs or similar computer code designed to adversely affect the operation of any computer software or hardware.

 

Confidentiality

Please ensure that you always keep confidential all Confidential Information that you receive as a consequence of your use of the platform (save where such information is or becomes public knowledge through no fault on your part). You will have no ownership rights in such Confidential Information. You may only use this information for the purposes of using the platform.

Confidential Information includes but is not limited to any trade secrets, any information relating to customer price lists or pricing structures, marketing and sales information, business plans or dealings, employees or officers, financial information and plans, designs, formulae, product lines, research activities, and any information marked "Confidential" or any information which you have been told is confidential or which you might reasonably expect the disclosing person would regard as confidential.

 

Intellectual Property

We own the platform and all the intellectual property rights in it, other than the intellectual property rights in the content that is submitted onto the platform by other users. The content is owned by the person or organisation that submitted it.

Do not copy our platform or use it to try to create a similar platform.

While you hold an account with us we allow you to use our platform provided you comply with this policy and the Terms of Use.

You allow us to use any content you submit to the platform to enable us to provide the platform to you and other users and to enforce this policy and the Terms of Use.

We would like to be able to use your company name and logo for our marketing and promotional material and we will always check with you before doing so. Similarly, you must not use our company name and logos without asking us first.

 

Breach of this policy or our Terms of Use

When we consider that a breach of the letter or spirit of this policy or our Terms of Use has occurred, we may take such action as we deem appropriate. This may involve removing your access to the platform (temporarily or permanently) and/or taking legal action.

Limitation of Liability

We do not limit our liability for:

  • death or personal injury caused by its negligence, or the negligence of its employees, agents or subcontractors; or

  • fraud or fraudulent misrepresentation.

In all other respects, (unless we have a Client Agreement with you that overrides this provision) our liability to you is limited as follows:

  • Our platform is provided on an AS-IS and “as and when available” basis. We exclude all implied conditions, warranties, representations or other terms that may apply to our platform or any content on it.

  • We have no liability for or under any agreement entered into by you and any other user of this platform; or for any non-payment or delay in payment by a user.

  • We will not be liable to you for any loss or damage, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, even if foreseeable, arising under or in connection with:

    • use of, or inability to use, our platform; or

    • use of or reliance on any content displayed on our platform.

    • In particular, we will not be liable for:

      • loss of profits, sales, business, or revenue;

      • business interruption;

      • loss of anticipated savings;

      • loss of business opportunity, goodwill or reputation; or

      • any indirect or consequential loss or damage.

  • Our (total aggregate liability to you arising under or in connection with the use of our platform, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, shall in no circumstances exceed £500.

 

Law

English law governs this policy, and only English courts can make judgments about it.
